  • Data loss or corruption (beyond our reasonable control)
  • Third-party claims or damages
  • Damages due to client's misuse of deliverables

9.3 Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, or technical failures.

10. Termination

10.1 Termination Rights

Either party may terminate a service agreement:

  • For convenience with 30 days written notice
  • Immediately for material breach that remains uncured for 15 days
  • Immediately for insolvency or bankruptcy
  • As otherwise specified in the service agreement

10.2 Effect of Termination

  • Client remains obligated to pay for services performed
  • Both parties must return confidential information
  • Survival of provisions that should reasonably survive
  • Orderly transition of work and knowledge transfer

11. Indemnification

11.1 Client Indemnification

Client agrees to indemnify Solvex against claims arising from:

  • Client's use of deliverables in violation of agreements
  • Client's breach of these Terms or service agreements
  • Content or data provided by client
  • Client's violation of third-party rights

11.2 Our Indemnification

Solvex will indemnify client against claims that our products infringe third-party intellectual property rights, subject to client's prompt notification and cooperation.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of India and the state of Gujarat. Any disputes will be subject to the exclusive jurisdiction of courts in Ahmedabad, Gujarat.

12.2 Dispute Resolution

Disputes should first be addressed through good faith negotiations. If unresolved, disputes may be submitted to:

  • Mediation through a mutually agreed mediator
  • Arbitration under the Arbitration and Conciliation Act, 2015

The relationship between Solvex and clients is that of seller and buyer. No partnership, joint venture, or employment relationship is created.
